  • Liquidity is limitedThere is no exchange to sell on until the company lists, and listing is never guaranteed.
  • Prices are negotiatedUnlisted prices come from demand and supply between buyers and sellers, not a live market.
  • Lock-in after listingPre-IPO shareholders may face a lock-in period after the company lists.
  • Different tax rulesHolding periods and tax rates for unlisted shares differ from listed shares — check with your CA.

Do I need a demat account to buy unlisted shares?

Yes. Unlisted shares are credited to your demat account, just like listed shares. If you don't have one, we can help you open it.

How is the price of an unlisted share decided?

There's no exchange price. Prices are quoted based on demand, supply and the information available about the company, and they can change quickly.

Can I sell unlisted shares later?

Possibly, but it depends on finding a buyer at a price you accept. If the company lists, you can sell on the exchange once any applicable lock-in ends.

How much of my money should go into unlisted shares?

Only a portion you can hold for years without needing it. We'll look at it in the context of your whole portfolio before you invest.
